  Constitution and By-Laws

 

  ARTICLE I - NAME, GENERAL NATURE &     PRINCIPLES

 

 

SECTION 1 - NAME                                                                  

The name of the organization shall be the Philippine-American Group of Greater Waterbury Area.  The acronym shall be known as PAGGAWA.  PAGGAWA is a Tagalog term that stands for undertaking (noun) or to act (verb).

 

 SECTION 2 - GENERAL NATURE

The organization shall be a non-profit organization determined to preserve and celebrate the rich Filipino heritage and to inspire members to become active participants in a community to promote charitable, civic, cultural, educational, and social responsibilities as residents and citizens of Greater Waterbury and the American community in general with no preference to religious beliefs and political affiliation.

 

SECTION 3 - PRINCIPLES                              

A.  To cultivate, promote and share the cultural heritage of the Filipino people, its art, customs, history, music, and traditions to natural born citizens of the US by Filipino parent(s), the Greater Waterbury area and the American community in general;     

B.  To encourage active participation in cultural, charitable, civic, educational, and social programs and services to Greater Waterbury and the American community in general;

C.  To interact with other professional, international, minority and other Filipino American organizations in Greater Waterbury and the American community in general;

D.  To provide assistance to new and existing members as well as hospitality and proper orientation to new members, new resident settlers, visitors and guests from the Philippines present in Greater Waterbury;

E.  To foster camaraderie and unity among families and members of the organization, and

F.  To promote the general welfare and interests of the members in preserving the Filipino identity, and be responsible citizens of the United States.

 

  ARTICLE II - MEMBERSHIP, CATEGORIES OF     MEMBERS & DUES

 

 

SECTION 1 - MEMBERSHIP     

Any person having Filipino heritage or ancestry, or being married to a person of Filipino heritage and ancestry, regardless of age, race, sex or religion is qualified to be a member.

 

  SECTION 2 - CATEGORIES OF MEMBERS

 A.  Resident member having the qualifications defined in Section 1  and reside or work within Greater Waterbury area.

 B.  Honorary member having the qualifications defined in Section 1  and with meritorious and exemplary service to the organization and  the community.

 

 

SECTION 3 - DUES

An annual membership due of $25.00 per household or $20.00 per individual shall be collected by the Treasurer and subject for review on an annual basis.

 

 

ARTICLE III - OFFICERS, DUTIES OF OFFICERS    & BOARD OF DIRECTORS

 

 

SECTION 1 - OFFICERS   

The officers of the organization shall consist of the President, Vice President, Secretary, Treasurer, and Public Relations Officer (PRO).

 

 

SECTION 2 - DUTIES OF OFFICERS

A.      The President

    1.     Shall represent the organization in all matters;

    2.     Shall preside at all general and special meetings;

    3.     Shall approve and sign contracts, forms and other related documents on behalf of the organization;

    4.     Shall jointly sign all checks with the Treasurer; and

    5.     Shall appoint chairpersons, and coordinate activities of all committees.                                                                               

B.       The Vice President

    1.     Shall preside and assume the duties and responsibilities of the President's in the latter’s absence, incapacity and resignation;    

    2.     Shall assist the President in the overall supervision and coordination of activities; and

    3.     Shall exercise and discharge all other duties as may be required by the President.

 

C.      The Secretary

    1.     Shall record the minutes of all meetings and proceedings of the organization;

    2.     Shall publish and archive minutes of meetings through the website of the organization;

    3.     Shall notify officers through mail, email or telephone the agenda, place, date and time of meetings;

    4.     Shall file and update directory of members;

    5.     Shall announce the presence or lack of quorum in all meetings; and

    6.     Shall exercise and discharge all other duties and responsibilities as may be required by the President.

     

D.      The Treasurer

    1.     Shall receive and deposit in appropriate bank accounts all monies of the organization;

    2.     Shall disburse funds as directed by the President with the resolution of the officers;

    3.     Shall jointly sign all checks and withdrawal slips on behalf of the organization with the President;

    4.     Shall keep proper books of account; 

    5.     Shall prepare periodic financial reports to be presented in meetings or as may be required by the President;

    6.     Shall prepare an annual budget of income and expenditures; and

    7.     Shall collect and receive all fees, dues and charges paid by members.

 

E.       The Public Relations Officer

    1.     Shall prepare publications, correspondences and announcements for distribution to members and the general public;

    2.     Shall maintain and update the website of the organization; and 

    3.     Shall establish contacts with various agencies, associations, media, business establishments, and private institutions, upon authority by the President for the purpose of promoting the activities and programs of the organization.

     

 

SECTION 3 - BOARD OF DIRECTORS

The Board of Directors shall be composed of five (5) members with a term of two (2) years as elected by the general membership. The Board of Directors shall be the advisory body whose administrative powers will monitor the business affairs of the organization.

 

 

ARTICLE IV - NOMINATION, ELECTION, TERM OF    OFFICE, SUSPENSION, EXPULSION AND    RESIGNATION

 

 

SECTION 1 - NOMINATION

Nomination of candidates shall be conducted verbally during the organization’s election year.  Any individual who is at least eighteen (18) years of age, has fulfilled the qualifications of member and who is in good standing is qualified to be nominated and to vote.  The first three (3) nominees for each position shall be declared official candidates. 

 

 

SECTION 2 - ELECTION

The election of officers shall be conducted in a secret ballot at the organization’s election year.  Each household member and each individual member will have one vote.

 

 

SECTION 3 - TERM OF OFFICE

The elected officers and advisors shall hold office for a term of two (2) years unless by resignation, removal or disqualification to serve.

 

 

SECTION 4 - SUSPENSION OR EXPULSION AND RESIGNATION

Grounds for suspension or expulsion of officer include three (3) consecutive unexcused absences in a regular meeting, voluntary resignation, failure to perform the duties and responsibilities or other acts inimical to the interest of the organization.  In case of expulsion or voluntary resignation of an officer:

A.    The President shall call for a special meeting of the members to elect a replacement of the officer within three (3) months from the date of resignation if the officer has an unexpired term of more than six (6) months.  During the period before the election of a replacement, the President shall appoint a qualified member to act as replacement in an interim capacity.  The interim replacement shall be confirmed by the officers and Board of Directors.

B.    The President shall appoint a qualified member to act as replacement of the officer for the rest of the remaining term if the unexpired term of the officer is at most six (6) months.  The replacement shall be confirmed by the officers and Board of Directors.

 

 

ARTICLE V - STANDING COMMITTEES

 

 

SECTION 1 - AUDIT COMMITTEE

A.  Shall perform an audit of the organization’s financial books on a quarterly basis; and

B. Shall publish audited balance sheet, income and expense statement in the newsletter after each audit.

 

 

SECTION 2 - EXTERNAL AFFAIRS COMMITTEE

A.  Shall be responsible for civic, charitable, cultural, educational, sports, and social activities of the organization; and

B.   Shall coordinate with the duties of Public Relations Officer.

 

 

SECTION 3 - MEMBERSHIP COMMITTEE

A.  Shall be responsible for recruitment of new members;

B.  Shall update the directory of members in coordination with the Secretary;

C.  Shall provide assistance, hospitality and orientation to new members, new resident settlers, visitors and guests from the Philippines present in Greater Waterbury; and

D.  Shall coordinate with the Treasurer in collecting annual membership dues.

 

 

SECTION 4 - PUBLICATIONS COMMITTEE

A.  Shall be responsible for publishing official newsletter of the organization;

B.  Shall maintain and update the website of the organization;

C.  Shall inform the members of current events and news of general interest; and

D.  Shall coordinate with the duties of Secretary and Public Relations Officer.

A.  Shall be responsible for planning, organizing and administering activities of children of the members of the organization; and

B.  Shall encourage activities to the youth to cultivate and to promote the cultural heritage of the Filipino people to the American community.

ARTICLE VI - MEETINGS, ORDER OF BUSINESS,    QUORUM, & RULES OF ORDER

 

 

SECTION 1 - MEETINGS

A.  General meetings shall be held annually and members notified at least two (2) weeks prior to the meeting with the date, time, place, and agenda.

B.  Special meetings shall be called by the President at any time as deemed necessary or upon request by at least ten (10) members of the organization. 

C.  Regular meetings of officers shall be called by the President on a quarterly basis or at any time as deemed necessary.

SECTION 3 - QUORUM

At any kind of meeting of the organization, the presence of at least fifty percent (50%) of the members plus one (1) shall constitute a quorum.  In case there shall be less than fifty percent (50%) plus one (1), the presiding officer may adjourn the meeting until a quorum is attained.

 

 

SECTION 4 - RULES OF ORDER

Except as otherwise provided for in the Constitution and By-Laws, meetings of the organization shall be conducted in accordance with Robert’s Rules of Order.

 

 

 ARTICLE VII – DISSOLUTION

 

 

In the event of dissolution, the officers, chairpersons of committees and board of directors remaining assets to such non-profit organizations in Connecticut as the officers, chairpersons of committees and board of directors shall in absolute discretion decide.charged with the dissolution shall, after paying all debts and liabilities, distribute the

 

 

ARTICLE VIII - AMENDMENT & RATIFICATION

 

 

The Constitution and By Laws of the organization shall be amended with two-thirds vote of the members comprising a quorum at a general meeting or special meeting.
